Suportr League CIC
Governance & Oversight
Suportr League CIC operates as the civic layer of the wider Suportr platform — legally locked to deliver community benefit, transparently governed, and backed by a robust IP licensing structure from Likkletek.
CIC Limited by Guarantee
Suportr League CIC is incorporated as a Community Interest Company limited by guarantee. That means:
- No shareholders and no equity dividends.
- Members guarantee a nominal amount (e.g. £1) rather than hold shares.
- An asset lock ensures that any surplus is reinvested back into community benefit, not extracted as profit.
- The CIC is set up to support local SMEs, grassroots sport, and community engagement across its geofenced area.
In simple terms: the structure is designed so value flows back into communities first.
Board Composition (Future State)
The CIC begins with a founding director to move quickly in the early build phase. As delivery scales, the Board will be expanded to include a balanced mix of:
- Independent committee & non-executive directors with charity/CIC or public sector experience.
- Local SME representation to reflect high-street business priorities.
- Community & youth sport voices to keep the programme grounded in lived experience.
- Where appropriate, a local authority or strategic stakeholder observer role.
The aim is a small, focused Board with clear lines of responsibility, supported by transparent reporting to funders and partners.
Articles of Association
The CIC’s Articles of Association set out the rules for how Suportr League CIC is run and what it can do. Key features include:
- A clear community purpose centred on local economic uplift, grassroots sport, and fan engagement.
- An asset-lock restricting how funds and assets can be used or transferred.
- Limitations on distributions, ensuring surpluses are reinvested into community outcomes.
- Governance rules covering directors’ duties, conflicts of interest, and decision-making.
A funder-ready governance framework that aligns with CIC Regulator and UKSPF expectations.
IP Licensing from Likkletek
The Suportr platform technology and brand are owned by Likkletek Limited, which licenses the IP to Suportr League CIC.
At a high level, this arrangement means:
- The CIC can use the Suportr platform, brand, and tools to deliver community programmes.
- The underlying IP remains protected within Likkletek, ensuring long-term stability and innovation.
- The CIC focuses on delivery, impact, and local partnerships, while Likkletek focuses on maintaining and evolving the core technology.
- Any commercial exploitation of the IP outside the CIC’s community remit remains with Likkletek, protecting both funders and community outcomes.
One shared platform, two clear roles: Likkletek as IP guardian, the CIC as community delivery engine.
Planned Community Advisory Group
Alongside the formal Board, Suportr League CIC will establish a Community Advisory Group to keep decisions rooted in real local experience.
- Representation from independent SMEs across different sectors.
- Supporters and fan leaders from local clubs.
- Youth sport and community organisations operating in the target boroughs.
- Inclusion of voices from under-represented groups to keep programmes equitable.
The group will meet regularly to review impact, highlight gaps, and shape priorities. It is advisory rather than legally binding, but its recommendations will be reported to the Board and funders.
Key Safeguards
Legally locked CIC structure with asset-lock.
IP licensing separates community delivery from core IP ownership.
Future-ready Board & Community Advisory Group to keep governance accountable and grounded.
